1. Introduction
Welcome to GOOiZ.
These Terms and Conditions (“Terms”) govern your access to and use of the GOOiZ website, available at www.gooiz.com (the “Website”), and the services provided by GOOiZ, including web design, web development, digital marketing, search engine optimisation, online advertising, hosting, domain registration, business email, website maintenance, and related services (collectively, the “Services”).
By accessing the Website, requesting or purchasing Services, or otherwise entering into an agreement with GOOiZ, you confirm that you have read, understood, and agree to be bound by these Terms.
If you do not agree with these Terms, you should not use the Website or engage GOOiZ to provide Services.
These Terms apply together with any quotation, proposal, order, statement of work, specification, or other written agreement issued or accepted by GOOiZ in relation to the Services.
2. Definitions
For the purposes of these Terms:
“GOOiZ”, “we”, “us” or “our” means GOOiZ and its authorised representatives.
“Client”, “you” or “your” means the individual, company, organisation, or other entity purchasing or using the Services.
“Services” means the services provided by GOOiZ, including web design, web development, digital marketing, SEO, online advertising, social media-related services, hosting, domain registration, business email, maintenance, technical support, and other related services.
“Website” means the GOOiZ website and, where applicable, a website designed, developed, hosted, or maintained by GOOiZ on behalf of a Client.
“Client Content” means all text, images, photographs, videos, logos, trademarks, documents, data, materials, and other content supplied by or on behalf of the Client.
“Advertising Platforms” means third-party advertising platforms and services, including Google Ads, Meta Ads, and any other advertising platform used in connection with the Services.
“Agreement” means these Terms together with any applicable quotation, proposal, order, specification, or other written agreement between GOOiZ and the Client.
3. Scope of Services
GOOiZ provides digital services primarily relating to:

Website design and development;

Website redesign and optimisation;

Search Engine Optimisation (SEO);
-
Digital marketing;
-
Online advertising and paid media campaigns;
-
Social media-related services, where agreed;
-
Hosting services;
-
Domain name registration;
-
Business email services;
-
Website maintenance and technical support; and
-
Other digital services agreed with the Client.
The exact Services provided to a Client shall be determined by the applicable quotation, proposal, Agreement, or written confirmation issued by GOOiZ.
Services not expressly included in the agreed scope shall be treated as additional services and may incur additional charges.
4. Web Design and Development
GOOiZ shall design and/or develop websites in accordance with the specifications and requirements agreed with the Client.
The Client shall provide all information, content, images, branding materials, access credentials, and other materials reasonably required for the completion of the project.
The Client is responsible for communicating all specific requirements and desired functionality before the design and development process begins.
Any changes, additions, features, functionality, or revisions requested after approval of the relevant design or commencement of development may affect the delivery schedule and project cost.
GOOiZ shall not be responsible for delays resulting from the Client's failure to provide required materials, information, approvals, or access.
5. Website Approval and Delivery
GOOiZ will provide the Client with reasonable opportunities to review the Website during the development process where applicable.
The Client is responsible for reviewing the Website and providing feedback or approval within a reasonable period.
Once the Website has been approved by the Client or made available for final review, the project shall be considered substantially completed, subject to any agreed post-delivery support or maintenance.
Any substantial changes requested after approval may be treated as additional work and charged separately.
6. Digital Marketing Services
GOOiZ may provide digital marketing services including, where agreed:

Digital marketing strategy;

Search Engine Optimisation (SEO);
-
Search engine marketing;
-
Google Ads management;
-
Meta Ads management;
-
Social media advertising;
-
Campaign management;
-
Content planning;
-
Marketing content creation;
-
Conversion optimisation;
-
Analytics and performance reporting; and
-
Other digital marketing activities agreed between the Parties.
The exact scope of digital marketing Services will depend on the applicable Agreement or quotation.
GOOiZ may adapt marketing strategies, campaigns, targeting, content, budgets, and other activities where reasonably necessary to improve campaign performance or respond to changes in market conditions or third-party platforms.
7. SEO Services
SEO Services are intended to improve the visibility, technical performance, and organic search presence of the Client's Website.
SEO results depend on numerous factors outside GOOiZ's control, including search engine algorithms, competition, industry conditions, website history, technical factors, content, backlinks, and actions taken by third parties.
Accordingly, GOOiZ does not guarantee any specific search engine ranking, position, traffic level, number of leads, sales, or revenue as a result of SEO Services.
GOOiZ may make recommendations or implement reasonable SEO measures, but search engine results remain outside GOOiZ's control.
8. Online Advertising and Advertising Platforms
Where GOOiZ manages paid advertising campaigns, such campaigns may be conducted through third-party Advertising Platforms, including Google Ads, Meta Ads, and similar services.
GOOiZ does not control the policies, algorithms, approval processes, availability, pricing, technical operation, or decisions of such Advertising Platforms.
Advertising campaigns may be rejected, restricted, suspended, modified, or discontinued by an Advertising Platform without prior notice.
GOOiZ shall not be responsible for any loss resulting from decisions or actions taken by a third-party Advertising Platform, except to the extent required by applicable law.
9. Advertising Budget
Unless expressly stated otherwise in writing, the Client's advertising budget or media spend is separate from GOOiZ's service fees.
Amounts paid to Google, Meta, or other Advertising Platforms are third-party advertising costs and are not considered payment to GOOiZ for its Services.
The Client shall remain responsible for any advertising budget approved for its campaigns.
GOOiZ may require the Client to provide or maintain valid payment details, advertising accounts, or sufficient funds before campaigns can be launched or continued.
GOOiZ shall not be responsible for campaign interruptions caused by insufficient advertising funds, payment failures, account restrictions, or issues with the Client's advertising account.
10. Marketing Results Disclaimer
Digital marketing involves variables and external factors that cannot be controlled or guaranteed by GOOiZ.
Unless expressly agreed otherwise in writing, GOOiZ does not guarantee:

a specific number of leads;
-
a specific number of sales;
-
a specific return on advertising spend (ROAS);
-
a specific level of website traffic;
-
a specific search engine ranking;
-
a specific conversion rate;
-
a specific level of revenue; or
-
any other specific commercial result.
GOOiZ shall provide Services using reasonable professional skill and care, but the Client acknowledges that marketing performance cannot be guaranteed.
11. Client Responsibilities
The Client agrees to:

Provide accurate and complete information required for the Services.

Provide requested content, materials, approvals, and access credentials within a reasonable time.

Review and approve marketing materials, campaigns, website content, and other deliverables where required.

Ensure that Client Content does not infringe the rights of any third party.

Ensure that any claims, statements, offers, prices, products, or services promoted through marketing campaigns are accurate and lawful.
-
Maintain valid access and payment details for relevant third-party services where required.
-
Inform GOOiZ of any material changes affecting the Services.
GOOiZ shall not be responsible for delays or performance issues caused by the Client's failure to fulfil these responsibilities.
12. Client Content and Marketing Materials
The Client remains responsible for all Client Content supplied to GOOiZ.
The Client warrants that it owns or has obtained all necessary rights, licences, permissions, and consents required for GOOiZ to use the Client Content in connection with the Services.
The Client is responsible for ensuring that all information provided for publication or advertising is accurate and complies with applicable laws and regulations.
GOOiZ may refuse to publish or use content where it reasonably believes that such content may be unlawful, misleading, infringing, fraudulent, or otherwise inappropriate.
13. Hosting, Domain Name and Business Email
Where included in the Services, GOOiZ may arrange hosting, domain name registration, and business email services through third-party providers.
Upon entering into the Agreement, the price applicable to hosting, domain name registration, and business email services shall remain fixed and unchanged for a period of five (5) years from the commencement of the cooperation.
Following the expiry of the initial five-year period, and where the costs charged by the relevant third-party providers have increased, GOOiZ reserves the right to adjust the applicable price accordingly.
Any adjustment shall take into account the prices and charges applicable from the relevant provider at the time of renewal.
GOOiZ shall not be responsible for outages, service interruptions, policy changes, technical failures, suspension, or other issues caused by third-party providers, except to the extent required by applicable law.
14. Website Maintenance
The annual fee for the Maintenance Service shall be €190 and shall remain fixed for the first five (5) years from the commencement of the contractual relationship between the Parties.
Upon expiry of the initial five-year period, the annual Maintenance Service fee may be subject to adjustment, taking into consideration, among other factors, changes in the cost of providing the service, applicable technical requirements, and the scope and extent of the Services provided.
Unless otherwise expressly agreed, Maintenance Services may include basic technical maintenance, troubleshooting, updates, minor corrections, and reasonable technical support.
Maintenance Services do not include major redesigns, development of new functionality, substantial structural changes, new integrations, extensive content changes, or other work outside the agreed maintenance scope.
Such work may be charged separately in accordance with these Terms.
15. Post-Delivery Support and Additional Work
Any changes, additions, modifications, or other work requested after final delivery of a Website and outside the agreed scope of Services shall constitute additional work.
Additional work shall be subject to a minimum charge of €20 and shall be billed at a rate of €20 per hour, unless otherwise agreed in writing.
GOOiZ may provide an estimate or quotation for substantial additional work before commencing such work.
16. Third-Party Services and Platforms
The provision of certain Services may depend on third-party services, platforms, software, applications, hosting providers, domain registrars, email providers, advertising platforms, analytics services, social media platforms, or other technology providers.
GOOiZ does not control these third-party services and cannot guarantee their availability, performance, policies, pricing, functionality, or continued operation.
Third-party providers may change their services, pricing, algorithms, technical requirements, policies, or terms at any time.
Where such changes affect the Services, GOOiZ may reasonably modify the manner in which the Services are provided.
17. Intellectual Property
Unless otherwise agreed in writing, GOOiZ retains ownership of its pre-existing intellectual property, systems, methodologies, processes, templates, tools, software, code libraries, know-how, and other materials used in providing the Services.
Upon payment in full of all applicable fees, the Client shall receive the rights to use the final Website and other specifically delivered materials created exclusively for the Client, subject to any third-party licences and the terms of the applicable Agreement.
Third-party materials, software, plugins, fonts, stock images, platforms, and other licensed materials remain subject to their respective licences and terms.
GOOiZ may retain the right to use general knowledge, skills, techniques, concepts, and methodologies developed during the provision of the Services, provided that confidential Client information is not disclosed.
18. Portfolio and Promotional Use
Unless otherwise agreed in writing, GOOiZ may identify the Client as a customer and may display the completed Website, publicly available Client branding, screenshots, or non-confidential project information in its portfolio, Website, social media, presentations, and other promotional materials.
If the Client requires the project to remain confidential or not to be used for promotional purposes, this must be agreed in writing.
19. Privacy and Personal Data
GOOiZ may collect and process personal data in connection with the Website and the provision of Services.
Personal data shall be processed in accordance with applicable data protection legislation and the GOOiZ Privacy Policy.
Where GOOiZ processes personal data on behalf of a Client, additional data processing terms may apply where required by applicable law.
The Client is responsible for ensuring that any personal data or customer data supplied to GOOiZ may lawfully be processed for the purposes for which it is provided.
20. Cookies and Analytics
The Website may use cookies, analytics tools, tracking technologies, and similar technologies for functionality, security, analytics, advertising, and performance measurement.
Where required by applicable law, appropriate consent mechanisms shall be used.
The Client is responsible for providing accurate information regarding its own privacy, cookie, and data-processing requirements where GOOiZ is developing or maintaining a Client Website.
21. Website Availability and Security
GOOiZ shall use reasonable efforts to maintain the functionality and availability of Websites and Services under its control.
However, uninterrupted availability cannot be guaranteed.
Temporary interruptions may occur due to maintenance, upgrades, technical failures, hosting issues, cyber incidents, telecommunications failures, or circumstances outside GOOiZ's reasonable control.
GOOiZ will use reasonable efforts to address technical issues within a reasonable period.
22. Acceptable Use
The Client shall not use any Website or Services provided by GOOiZ for unlawful, fraudulent, abusive, malicious, or harmful purposes.
The Client shall not use the Services to distribute content that violates applicable law or infringes the rights of third parties.
GOOiZ reserves the right to suspend Services where continued provision would reasonably expose GOOiZ to legal, security, reputational, or operational risk.
23. Disclaimer
The Website and its content are provided for general informational purposes.
GOOiZ makes reasonable efforts to ensure that information published on the Website is accurate and up to date but does not guarantee that all information will always be complete, accurate, current, or error-free.
Except where expressly stated otherwise, the Services are provided using reasonable professional skill and care.
Nothing in these Terms excludes or limits any liability or statutory right that cannot lawfully be excluded or limited.
24. Limitation of Liability
To the maximum extent permitted by applicable law, GOOiZ shall not be liable for indirect, incidental, special, consequential, or unforeseeable losses arising from or in connection with the Website or Services.
Such losses may include loss of profits, revenue, business opportunities, goodwill, anticipated savings, or data.
GOOiZ shall not be responsible for losses arising from:

third-party hosting or technology providers;

domain registrars;
-
email providers;
-
Google, Meta, or other Advertising Platforms;
-
search engine algorithm changes;
-
Client Content;
-
inaccurate information supplied by the Client;
-
unauthorised changes made by the Client or third parties;
-
delays caused by the Client;
-
account restrictions or suspensions imposed by third parties; or
-
circumstances beyond GOOiZ's reasonable control,
except to the extent such liability cannot lawfully be excluded or limited.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot legally be excluded or limited.
25. Force Majeure
GOOiZ shall not be liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond its reasonable control.
Such circumstances may include natural disasters, fire, flood, war, civil unrest, governmental action, telecommunications failures, internet outages, power failures, strikes, cyber incidents, failures of third-party service providers, or other events beyond GOOiZ's reasonable control.
GOOiZ shall use reasonable efforts to minimise the effects of such events.
26. Suspension and Termination
GOOiZ may suspend or terminate Services where:

the Client fails to pay amounts due;
-
the Client materially breaches these Terms;
-
the Client provides unlawful or infringing content;
-
continued provision of the Services would be unlawful or create significant risk for GOOiZ; or
-
the Client engages in fraudulent, abusive, or harmful conduct.
Where appropriate and legally permissible, GOOiZ will provide reasonable notice before suspension or termination.
Termination shall not affect any rights or obligations that accrued before termination.
Any outstanding fees for Services already provided or committed third-party costs shall remain payable, subject to applicable law and the terms of the relevant Agreement.
27. Changes to These Terms
GOOiZ may update these Terms from time to time to reflect changes in its Services, business practices, technology, or applicable legal and regulatory requirements.
The updated version shall be published on the Website together with the relevant “Last Updated” date.
Where a change materially affects an existing contractual relationship, GOOiZ will provide appropriate notice where required by applicable law.
28. Entire Agreement
These Terms, together with any applicable quotation, proposal, order, specification, Privacy Policy, Cookie Policy, and other written agreements expressly incorporated into the contractual relationship, constitute the agreement between GOOiZ and the Client regarding the relevant Services.
They supersede prior discussions, communications, representations, or understandings concerning the same subject matter, except where otherwise expressly agreed in writing.
29. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be modified or removed to the minimum extent necessary, while the remaining provisions shall continue in full force and effect.
30. No Waiver
Failure or delay by GOOiZ to exercise any right or remedy under these Terms shall not constitute a waiver of that right or remedy.
A waiver shall be effective only if expressly given in writing.
31. Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Cyprus, subject to any mandatory provisions of applicable law.
Any dispute arising out of or in connection with these Terms or the Services shall be subject to the jurisdiction of the competent courts of the Republic of Cyprus, subject to any mandatory jurisdictional rights available to consumers or other parties under applicable law.
32. Language
All contractual correspondence, quotations, agreements, and other communications between GOOiZ and the Client shall be conducted in Greek or English, unless otherwise agreed in writing.
Where these Terms or any related contractual document are translated into another language, the English version shall prevail to the extent permitted by applicable law.
